ATAR Capital Uses AI To Analyze Operations Offshoring Risks

Context

ATAR Capital, a global private equity firm focused on corporate carve outs and operational transformations, engaged Barnes & Thornburg to help one of its portfolio companies, Clarvida, evaluate risks associated with a proposed operational offshoring initiative. Clarvida is a national behavioral health provider generating approximately $700 million in annual revenue and operating across 16 states. 

Challenge

The project required analysis of more than 1,000 Medicare and Medicaid related agreements under an extremely compressed timeline after a prior consultant was unable to deliver the analysis necessary to support the client's decision making. The project also necessitated a compressed timeline, making manual review not a realistic possibility. 

Approach

Working closely with ATAR General Counsel Brett Crowell, Clarvida General Counsel Joyce Montes, and Clarvida CFO Timothy Murphy, Barnes & Thornburg assembled a multidisciplinary team consisting of attorneys, Legal Project Management professionals, and AI specialists. Using an AI enabled review process, the team rapidly identified and extracted contractual restrictions, consent requirements, offshoring limitations, and other material obligations across the portfolio company's contract base while maintaining attorney review and validation throughout the engagement.

Impact

What would have required weeks of manual review was completed on an accelerated timeline, allowing ATAR and Clarvida to evaluate strategic operational options and move forward with confidence. The engagement subsequently expanded into broader healthcare regulatory and operational counseling, demonstrating how AI can create value beyond efficiency by generating deeper insight and strengthening client decision making.
